Accredited Investor Requirement

Access to information about Nivale Fund, LP is limited to Accredited Investors as defined under Rule 501 of Regulation D of the Securities Act of 1933. To qualify as an Accredited Investor, you must meet at least one of the following criteria:

  • An individual with income exceeding $200,000 (or $300,000 combined with a spouse or spousal equivalent) in each of the two most recent calendar years, with a reasonable expectation of the same income level in the current year.
  • An individual with a net worth exceeding $1,000,000, either alone or together with a spouse or spousal equivalent, excluding the value of a primary residence.
  • A holder of a valid Series 7, Series 65, or Series 82 license in good standing.
  • A trust with total assets exceeding $5,000,000, not formed for the specific purpose of investing in the securities offered, and directed by a sophisticated person.
  • An entity in which all equity owners are Accredited Investors, or an entity with total investments exceeding $5,000,000 not formed for the specific purpose of acquiring the offered securities.
